01 Acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of the websites operated by ValueStrategy Consulting (“VSC”, “we”, “our”), including valuestrategyconsulting.com, the MagORAI and MagEAM product sites, the OR Scorecard diagnostic tool and related properties (collectively, the “Sites”).
By accessing or using the Sites, you agree to be bound by these Terms. If you do not agree, do not use the Sites.
02 Description of services
The Sites provide informational and diagnostic content about VSC's consulting services (MagORAI, MagEAM) and software platforms (Reliability Genius, Mining Recruit, Nexus, MineChain, PMO Corporate, Permit Mastery, and others). They include:
- Informational content — articles, case studies and reference material describing VSC's methodologies.
- The OR Scorecard — an interactive diagnostic that produces an AI-assisted executive report based on your responses.
- Contact forms — channels through which you may request a meeting, a demo or further information.
The Sites do not, by themselves, constitute the provision of consulting services. A formal engagement letter signed by both parties is required for any binding professional service.
03 Eligibility
The Sites are intended for business audiences over the age of 16. By using the Sites you represent that you meet these criteria and that any information you submit is your own, accurate and current.
04 Intellectual property
All content on the Sites — including text, graphics, logos, frameworks, methodologies, software, diagrams and design elements — is the property of VSC or its licensors and is protected by copyright, trademark and other intellectual property laws.
The names MagORAI, MagEAM, Reliability Genius, Mining Recruit, Nexus, MineChain, PMO Corporate, Permit Mastery and the “VSC” identifier are trademarks of ValueStrategy Consulting.
You may not reproduce, redistribute, resell, license or create derivative works of any content on the Sites without express written permission from VSC.
05 Permitted use
You may use the Sites for the following purposes only:
- Personal informational reading.
- Evaluating VSC services for potential commercial engagement.
- Completing the OR Scorecard for your own operational diagnostic.
- Sharing publicly available content (articles, summaries) with proper attribution.
You agree not to:
- Use the Sites in any way that violates applicable law or regulation.
- Attempt to gain unauthorized access to any part of the Sites or to other users' data.
- Use automated systems (bots, scrapers) to collect content from the Sites without prior written authorization.
- Submit false information into the OR Scorecard or contact forms.
- Reverse-engineer, decompile or extract source code from any VSC tool exposed on the Sites.
- Use VSC trademarks, branding or visual identity outside the bounds of fair use.
06 User submissions
When you submit information to VSC through forms, the OR Scorecard or any other channel:
- You retain ownership of the operational data you submit.
- You grant VSC a limited, non-exclusive license to process that information to deliver the service requested (scorecard report, meeting follow-up, demo, etc.) and to aggregate it in anonymized form for benchmarking purposes.
- You confirm you have the right to submit the information and that doing so does not violate any third-party rights or confidentiality agreement.

07 Disclaimers
The Sites and the OR Scorecard report are provided “as is” and “as available”. The diagnostic output is informational and based on the data you provide; it does not constitute professional advice, audit, certification or a binding operational recommendation.
To the maximum extent permitted by applicable law, VSC disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Any decision taken on the basis of content from the Sites — including the OR Scorecard report — remains the sole responsibility of the user or organization making the decision.
08 Limitation of liability
To the maximum extent permitted by law, VSC will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, goodwill or business opportunity, arising from or related to your use of the Sites.
VSC's total aggregate liability arising out of or related to use of the Sites is limited to the amount you paid to VSC, if any, for use of the Sites in the twelve months preceding the event giving rise to the claim — or one hundred United States dollars (USD 100), whichever is greater.
This limitation does not apply to liability that cannot be excluded under applicable law.
09 Indemnification
You agree to indemnify, defend and hold harmless VSC and its officers, partners, employees and contractors from any claim, damage, liability, cost or expense (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your misuse of the Sites or the OR Scorecard.
- Your violation of any third-party right, including intellectual property or confidentiality.
10 Third-party links
The Sites may contain links to third-party sites — including magorai.com, mageam.com, scorecard.magorai.com, and external publications. VSC is not responsible for the content, privacy policies or practices of third-party sites. Access them at your own risk.
11 Termination
VSC may suspend or terminate access to the Sites for any user who violates these Terms or applicable law. You may stop using the Sites at any time. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
12 Governing law
These Terms are governed by the laws of the Republic of Chile, without regard to its conflict-of-law principles. Any dispute arising from or related to these Terms or use of the Sites will be brought exclusively before the competent courts of Santiago, Chile, unless local consumer-protection law mandates otherwise.
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
13 Changes to terms
VSC may update these Terms from time to time. Material changes will be flagged through a visible notice on the website. The “Last updated” date at the top of this page indicates the version in effect. Your continued use of the Sites after changes are posted constitutes acceptance.
